General terms and conditions

1. Conclusion of contract

Our quotations, order confirmations, deliveries and services as well as customer payments are effected exclusively according to our General Terms and Conditions. External terms and conditions are therefore only valid if they are expressly recognised by us in writing.
1.2
The "Cinewall" request for samples available for order on our homepage www.hdm.info serves the purpose of a binding purchase quotation.

Contracts with us take place through customer orders via the integrated order system on our homepage www.hdm.info and our order confirmation sent by email, but at the latest through the unreserved acceptance of the goods by the customer. We are entitled to accept the customer's order within five working days after receipt of the order. An acceptance shall be deemed completed when we deliver the request for samples placed within this period.

The order in electronic form (consisting of order information and general terms and conditions) is saved in our company.

Order transactions and contact with the customer takes place by telephone or by email. The customer must ensure that the telephone number or email address given at the time of ordering is correct. In particular, when spam filters are in operation the customer must ensure that all emails sent by the seller can be received.
 

2. Prices

2.1
Our prices for deliveries within Germany include the respective valid VAT.

3. Payment conditions and reservation of ownership

3.1
Our invoice must be paid in advance via bank transfer.

3.4
The customer must perform the bank transfer within seven days after concluding the contract to the account named in our order confirmation. The date we receive the payment is important.
 

4. Delivery and delivery cost

4.1
We deliver request for samples orders by post at the expense of HDM GmbH.
 

5. Right of return

5.1 The customer is entitled within a period of 4 weeks after receiving the sample to return this to the retailer on purchasing a Cinewall. As long as the sample is returned undamaged and with no faults the customer shall receive a credit note to the value of the sample purchase price.
 

6. Warranty

6.1
We provide a warranty for defects in title or quality within the context of legal provisions. The limitation period for warranty claims is two years from the date of delivery of the good to the customer.
 

7. Disclaimer and limitation of liability

7.1
In so far as no other provisions arise from the aforementioned, additional warranty claims of the customer shall be excluded. This applies in particular to damage claims for default on contract conclusion and breach of duty. Aforementioned exoneration from liability does not apply if the cause of damage stems from wrongful intent or gross negligence.

7.2
Regulation No. 7.1 is not valid for claims under product liability legislation.

7.3
To the extent that our liability has been ruled out or limited, this shall also apply to the personal liability of our staff, employees, workers, fellow-workers, representatives and assistants.

8. Applicable law

All legal relations between parties are governed by German law excluding the laws regarding the international sales of commodities.
